Terms of Service

1. Acceptance of Terms

By accessing or using any EZCorp product, service, or website (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Services.

2. Description of Services

EZCorp provides a suite of privacy-focused software tools and services. These include desktop applications, browser-based utilities, command-line tools, and cloud-based productivity applications. Specific terms for each product are outlined below.

3. Product-Specific Terms

3.1 ez-search

ez-search is a semantic codebase search CLI that uses AI embeddings to find code, documents, and images by meaning.

  • All embedding and search processing occurs locally on your machine. No data is sent to external servers.
  • ML models are downloaded once and cached locally. No network calls are required for indexing or querying.
  • EZCorp is not responsible for the accuracy or completeness of search results.

3.2 Dup Detector

Dup Detector is a desktop application for finding and managing duplicate files.

  • The software runs entirely on your local machine. No files are uploaded to any server.
  • You are solely responsible for any files you choose to delete or modify using the software.
  • EZCorp is not responsible for any data loss resulting from the use of Dup Detector.

3.3 File Convert

File Convert is a browser-based file conversion tool powered by WebAssembly.

  • All file processing occurs locally in your browser. Your files are never uploaded to any server.
  • Conversion results may vary depending on the input file format, complexity, and your device capabilities.
  • EZCorp does not guarantee support for all file formats or error-free conversion output.

3.4 ez-term

ez-term is a command-line tool that generates terminal commands using local AI models via Ollama.

  • All AI processing occurs locally on your machine. No data is sent to external servers.
  • You are solely responsible for reviewing and executing any commands generated by ez-term.
  • EZCorp is not liable for any damage caused by executing generated commands.

3.5 EZ AI Pipeline

EZ AI Pipeline is a CLI tool for executing multi-stage AI workflows with cost tracking.

  • The tool may connect to third-party AI providers (e.g., OpenAI, Anthropic) using API keys you provide.
  • You are responsible for any costs incurred through third-party AI providers.
  • You are responsible for securing your API keys and complying with each provider's terms of service.
  • EZCorp does not store or transmit your API keys beyond your local configuration.

3.6 Stack Flow

Stack Flow is a task management application with Google Calendar integration.

  • Stack Flow requires a Google account for authentication and calendar features.
  • By using Stack Flow, you authorize the application to access and modify your Google Calendar data as described in Section 4 below.
  • You are responsible for the accuracy and appropriateness of tasks and events created through the application.
  • EZCorp may store task data necessary to provide the service. See our Privacy Policy for details.

4. Google API Services

Stack Flow uses Google API Services to provide authentication and calendar integration. This section describes how we use those services and your rights regarding your data.

4.1 Google Authentication

Stack Flow uses Google OAuth 2.0 for user authentication. When you sign in with Google, we request access to your basic profile information (name and email address) solely for the purpose of creating and managing your account.

4.2 Google Calendar Integration

Stack Flow requests access to your Google Calendar to provide task management features. Specifically, the application may:

  • Read your calendar events to display them alongside your tasks.
  • Create, update, and delete calendar events when you manage tasks with associated dates.
  • Sync task deadlines and scheduling information with your Google Calendar.

4.3 Google API Services User Data Policy

Stack Flow's use and transfer of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements. Specifically:

  • We only use Google data to provide and improve the task management features you have requested.
  • We do not transfer Google user data to third parties unless necessary to provide the service, required by law, or with your explicit consent.
  • We do not use Google user data for advertising or to serve ads.
  • We do not allow humans to read your Google user data unless you provide affirmative consent, it is necessary for security purposes, it is required by law, or the data is aggregated and anonymized for internal operations.

4.4 Revoking Access

You may revoke Stack Flow's access to your Google account at any time through your Google Account permissions settings. Revoking access will disable calendar integration features but will not delete your Stack Flow account or task data.

5. User Accounts and Authentication

Certain Services, including Stack Flow, require you to create an account or sign in via a third-party authentication provider.

  • You are responsible for maintaining the security of your account credentials.
  • You must provide accurate information when creating an account.
  • You must notify EZCorp immediately of any unauthorized use of your account.
  • EZCorp reserves the right to suspend or terminate accounts that violate these Terms.

6. Intellectual Property

The Services, including all code, design, branding, and documentation, are the property of EZCorp or its licensors. Certain EZCorp tools are released under open-source licenses. Where applicable, the specific open-source license governing a tool is included in its source code repository. Your use of open-source components is subject to the terms of those licenses.

7. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. EZCORP DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EZCORP AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF EZCORP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL EZCORP'S TOTAL LIABILITY EXCEED THE AMOUNT YOU HAVE PAID TO EZCORP, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Termination

EZCorp may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. You may stop using the Services at any time. Upon termination, your right to use the Services ceases immediately. For locally installed tools (ez-search, Dup Detector, File Convert, ez-term, EZ AI Pipeline), you may continue to use any copies already downloaded, subject to any applicable open-source license terms.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Services shall be resolved in the appropriate courts of competent jurisdiction.

11. Changes to These Terms

EZCorp reserves the right to modify these Terms at any time. Changes will be reflected by updating the "Last updated" date at the top of this page. Your continued use of the Services after any changes constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically.
